Buyer Hire Me Terms of Service

PLEASE READ THESE BUYER HIRE ME PROGRAM TERMS OF SERVICE CAREFULLY BEFORE PARTICIPATING IN STICKER MULE'S HIRE ME PROGRAM. PARTICIPATION IN THIS PROGRAM CONSTITUTES YOUR ACCEPTANCE OF ALL THESE BUYER HIRE ME TERMS.

Overview

These Sticker Mule Buyer Hire Me Program Terms of Service (these "Buyer Hire Me Terms") supplement and are incorporated into the Sticker Mule General Terms of Service (the "General Terms"). Capitalized terms used but not defined in these Buyer Hire Me Terms have the meanings given to them in the General Terms.

In these Buyer Hire Me Terms, "Sticker Mule," "we," "us," and "our" have the same meanings as in the General Terms, and "you," "your," and "Buyer" refer to any User who participates in the Sticker Mule Hire Me Program (the "Hire Me Program"). The Hire Me Program allows Buyers to purchase custom videos, writing, illustrations, and designs from participating sellers (each, a "Seller") through an optional "Hire Me" feature. This feature lets Buyers connect directly with Sellers to commission custom creative projects (each, a "Hire Me Project").

The Hire Me Program is part of the Services as described in the General Terms.

Binding Agreement

By participating in the Hire Me Program, you are bound by these Buyer Hire Me Terms and indicate your agreement to them. The Hire Me Program is administered by Sticker Mule. All of Sticker Mule's decisions with respect to the Hire Me Program are final and binding.

Our Buyer Hire Me Terms May Change

We may update these Buyer Hire Me Terms from time to time. If we make a material change, we will post a notice on the Website or otherwise notify you of the change. Please read any changes carefully. If you do not agree to the updated Buyer Hire Me Terms, you must stop participating in the Hire Me Program. If you continue to participate in the Hire Me Program after we notify you of changes, you will be deemed to have accepted the updated Buyer Hire Me Terms, except to the extent prohibited by applicable law. Some jurisdictions do not permit unilateral updates or changes to terms, so this paragraph may not apply to you.

Additional Terms

These Buyer Hire Me Terms are subject to additional terms and conditions, including, without limitation, Sticker Mule's General Terms of Service, IP Rights Policy, Stores Terms, and Privacy Policy (collectively, the "Additional Terms"). The applicable Additional Terms are incorporated into these Buyer Hire Me Terms by reference. If there is any conflict between these Buyer Hire Me Terms and the applicable Additional Terms, the Buyer Hire Me Terms will govern your participation and use of the Hire Me Program. The applicable Additional Terms will otherwise continue to apply to your use of the Services or that specific product, service, program, or portion of the Services.

One set of Additional Terms is our Privacy Policy, which is incorporated herein by reference. Please refer to our Privacy Policy for information about how we collect, use, and disclose information about you. By using the Services, you agree to the terms of our Privacy Policy.

Eligibility and Account Requirements

To be eligible to participate as a Buyer in the Hire Me Program, you must:

• Create a user account on our Website (a "User Account").
• Be a legal resident of a participating country.
• Be 18 years of age or older (or the legal age of majority in your jurisdiction).

How the Hire Me Program Works

Visit Participating Sellers' Stores

Participating Sellers' Stores may feature a "Hire Me" button listing the custom services Seller offers and a flat-rate price set by Seller that a Buyer will pay for each Hire Me Project, plus any Applicable Taxes (the "Hire Me Fee"). "Applicable Taxes" means any applicable sales, use, value-added, goods and services, or similar tax (e.g., sales tax, GST, VAT) that Sticker Mule and/or Seller, as applicable, are required to collect and remit to the relevant tax authorities.

Buyer Clicks "Hire Me" Button

When you visit a participating Seller's Store, you may click the "Hire Me" button to contact Seller and request a Hire Me Project. You will be prompted to: (i) describe the project using Sticker Mule's online form; and (ii) submit valid payment details for the Hire Me Fee.

Seller Acceptance Window

After you submit a Hire Me Project request, Seller will generally have up to 3 days to review and accept or reject the project. Your payment method may be authorized (but not yet fully captured) during this review period. If Seller does not accept within the applicable time period, the request may expire and any authorization will be released in accordance with your payment provider's policies.

Clear Scope and Deliverables

Buyer and Seller are solely responsible for clearly defining and agreeing on the scope of work, the deliverables (including file types, formats, and resolution), any milestones or partial submissions (if applicable), and any revision limits (if offered and permitted), and documenting these using the Website's messaging tools.

Revisions and Additional Work

Unless otherwise expressly stated on the Website or agreed through the Services, Hire Me Projects do not include revisions, and Seller is not obligated to provide any changes, edits, or additional versions after the final deliverables are provided. If revisions are included or offered as part of a Hire Me Project, the number, scope, timing, and any related fees for such revisions will be as described on the Website or agreed through the Services at the time you submit your Hire Me Project request. Any additional revisions or material changes in scope that you request beyond those agreed may require a new Hire Me Project or additional fees to be processed through the Hire Me Program, as determined by Seller and permitted by Sticker Mule. Any such additional fees will be disclosed to you and must be accepted through the Services before being charged. Any revisions or additional work that a Seller chooses to provide outside the agreed scope are made in Seller's discretion and do not modify these Buyer Hire Me Terms.

No Work Outside Scope

You agree that Sellers are not required to perform work outside the agreed scope or beyond any agreed revision limits, and that additional work or materially changed scope may require a new Hire Me Project or additional fees, as determined by Seller and processed through Sticker Mule where permitted. You shall not request or require a Seller to perform work outside the agreed scope or via off-platform payments or communications in violation of the Buyer Hire Me Terms, the General Terms, or any Additional Terms.

Delivery

After a Hire Me Project is accepted by Seller, Seller will generally have 7 days to deliver the design or other agreed deliverable through the Website (or as otherwise specified by Sticker Mule). Seller must deliver the final design and all agreed files at the same time, in the formats agreed between you and Seller using the Website's messaging tools. Delivery through the Website (or as otherwise specified by Sticker Mule) will constitute delivery of the Hire Me Project for purposes of these Buyer Hire Me Terms.

Cancellation

Except as expressly provided in this Section, Hire Me Projects are non-cancellable and all Hire Me Fees are non-refundable. If Seller does not deliver within the 7-day delivery period, you may have the option to cancel the Hire Me Project. If you cancel in accordance with these Buyer Hire Me Terms, Sticker Mule may, in its sole discretion and subject to applicable law, issue a partial or full refund of the Hire Me Fee that you paid. Any additional cancellation rights or limitations, including where work has already been partially completed, will be governed by the General Terms and any relevant Additional Terms.

Content Standards and Prohibited Projects

Buyer shall not attempt to commission Hire Me Projects that involve illegal, infringing, hateful, harassing, pornographic, or otherwise prohibited content under Sticker Mule's General Terms. Sticker Mule may, in its sole discretion, cancel any Hire Me Project, with or without notice, and may take any enforcement action permitted under the Additional Terms, including withholding payments, suspending a Buyer's Store (if any), or terminating a Buyer's account.

On-Platform Communications and Payments

All communications and payments related to Hire Me Projects must occur through Sticker Mule's Website. Buyer shall not solicit or accept payment or work off-platform to avoid fees or policies. Sticker Mule may, subject to applicable law and its Privacy Policy, review communications on its Website as needed for dispute resolution, fraud prevention, recordkeeping, and policy enforcement.

Disputes; Cooperation with Sticker Mule

Buyer agrees to cooperate with Sticker Mule in good faith to resolve disputes with any Seller, including by providing requested information, communications, and project files. Sticker Mule may, in its sole discretion, determine appropriate remedies (including partial or full refunds, cancellation of a Hire Me Project, or account actions) based on available information. Buyer authorizes Sticker Mule to implement any such remedies for Hire Me Projects. All of Sticker Mule's decisions with respect to any Hire Me Projects are final and binding.

Hire Me Program Payment Terms

Payment of Hire Me Fees

Unless otherwise permitted by Sticker Mule, you will be charged (or your payment method will be captured) for the Hire Me Fee when Seller accepts your Hire Me Project. The relevant Hire Me Fee will be listed at checkout. You agree to pay Sticker Mule, acting as a limited payment collection agent for Seller where applicable, all fees and charges applicable to your use of the Hire Me Program in accordance with these Buyer Hire Me Terms. You will be billed via our designated third-party payment processor using the payment method(s) you have provided.

Taxes and Other Charges

When you make a payment in connection with the Hire Me Program, you agree to pay the price listed for the Hire Me Project you select, together with any Applicable Taxes and any other charges disclosed at checkout. You acknowledge that your bank, credit card issuer, payment provider, or other financial institution may also charge additional fees (including, without limitation, credit card fees, bank fees, foreign transaction fees, foreign exchange fees, and fees related to currency fluctuations). You agree that you are solely responsible for any such third-party fees.

Payment Methods; Accuracy; Unpaid Amounts

You are responsible for ensuring that your banking, credit card, debit card, and/or other payment information is current, complete, and accurate at all times. If any amounts due for services through the Hire Me Program remain unpaid, or if any credit/debit card charge or online payment service is denied, returned, or refused, you agree to pay, in addition to the principal amount and any applicable interest, all bank and payment provider charges assessed against you and Sticker Mule, as well as Sticker Mule's reasonable costs of collecting or attempting to collect such amounts, including reasonable attorneys' fees and expenses. All transactions originating from your User Account are your responsibility.

Third-Party Payment Processors; Credit Authorization

You agree to comply with all applicable terms of service, privacy policies, and other legal agreements or restrictions (including any age restrictions) imposed by our third-party payment processor(s). Sticker Mule reserves the right to verify your credit at any time before you purchase services through the Hire Me Program. If any credit/debit card charge or online payment service is denied, returned, or refused, Sticker Mule may, to the extent permitted by applicable law and applicable card network rules, charge the underlying payment and any incidental charges described in this Section against any other form of payment you have ever added to your User Account.

Processing and Sharing of Personal Information

Any personal data that you provide in connection with your use of the Hire Me Program, including, without limitation, any data provided in connection with payment, will be processed in accordance with Sticker Mule's Privacy Policy. We may share your payment information with payment service providers to process payments; prevent, detect, and investigate fraud or other prohibited activities; facilitate dispute resolution such as chargebacks or refunds; and for other purposes associated with the acceptance and processing of credit cards, debit cards, ACH, or other payment methods. If you make a payment for the Hire Me Program, we may receive information about your transaction, such as when it was made, the platform on which you made the purchase, and other transaction-related information. Sticker Mule will not be responsible or liable for any errors made or delays caused by a payment processor, your bank, your credit card company, or any payment network, except to the extent such limitation of liability is not permitted by applicable law.

Changes to Billing and Prices

Sticker Mule may change billing procedures, prices, and/or promotions for the Hire Me Program at any time, including for future Hire Me Projects, without advance notice, except where notice is required by applicable law. Any such changes will apply on a going-forward basis and will not affect amounts and pricing already agreed and confirmed for an existing Hire Me Project. Your continued use of the Website or the Hire Me Program after any such changes constitutes your agreement to the updated billing procedures, prices, and/or promotions.

Intellectual Property

Intellectual Property and Rights in Hire Me Projects

As between you and the applicable Seller, and subject to your full payment of all fees due for a Hire Me Project, Seller will irrevocably assign and transfer, and is deemed to assign and transfer, to you all right, title, and interest in and to any and all concepts, designs, works of authorship, and other materials Seller creates, develops, or delivers in connection with the Hire Me Project (each, a "Hire Me Work"), including all associated intellectual property and proprietary rights, to the fullest extent permitted by law. To the extent any such rights may not be assigned, Seller will grant you an exclusive, irrevocable, perpetual, royalty-free, worldwide license (with the right to create derivative works, sublicense and transfer) to exercise all such rights, and Seller will waive, to the maximum extent permitted by law, any moral rights or similar rights Seller may have in the Hire Me Work.

Licenses to Seller and Sticker Mule

Subject to this assignment, you grant to Seller, a non-exclusive, perpetual, transferable, sub-licensable, royalty-free, worldwide license to use, reproduce, display, and perform the Hire Me Work solely for the purpose of marketing and promoting Seller's designs and services (for example, in Seller's portfolio, on Seller's website, or social media). You also grant to Sticker Mule a non-exclusive, perpetual, transferable, sub-licensable, royalty-free, worldwide license to use, reproduce, modify, adapt, display, perform, distribute, and otherwise exploit the User Content and Hire Me Work (i) for the purpose of marketing, advertising, and promoting Sticker Mule's services, the Hire Me Program, and the Website, and (ii) for manufacturing, fulfilling, and distributing any products incorporating the Hire Me Work that you order on the Website, if any.

User Content

The User Content provisions in the General Terms apply to any content you submit or provide in connection with the Hire Me Program, including any project descriptions, reference materials, or other materials you upload or transmit through the Services.
