Seller Hire Me Terms of Service

PLEASE READ THESE SELLER HIRE ME PROGRAM TERMS OF SERVICE CAREFULLY BEFORE PARTICIPATING IN STICKER MULE'S HIRE ME PROGRAM. PARTICIPATION IN THIS PROGRAM CONSTITUTES YOUR ACCEPTANCE OF ALL THESE SELLER HIRE ME TERMS.

Overview

These Sticker Mule Seller Hire Me Program Terms of Service (these "Seller Hire Me Terms") supplement and are incorporated into the Sticker Mule General Terms of Service (the "General Terms") and the Stores Program Terms of Use (the "Stores Terms"). Capitalized terms used but not defined in these Seller Hire Me Terms have the meanings given to them in the General Terms and the Stores Terms.

In these Seller Hire Me Terms, "Sticker Mule," "we," "us," and "our" have the same meanings as in the General Terms, and "you," "your," and "Seller" refer to any User who participates in the Sticker Mule Hire Me Program (the "Hire Me Program"). The Hire Me Program gives Sellers the opportunity to offer custom videos, writing, illustrations, and designs to third parties (each, a "Buyer") through an optional "Hire Me" feature, which lets a Buyer connect directly with Sellers to commission custom creative projects (each, a "Hire Me Project").

The Hire Me Program is part of the Services as described in the General Terms.

Binding Agreement

By participating in the Hire Me Program, you are bound by these Seller Hire Me Terms and indicate your agreement to them. The Hire Me Program is administered by Sticker Mule. All of Sticker Mule's decisions with respect to the Hire Me Program are final and binding.

Our Seller Hire Me Terms May Change

We may update these Seller Hire Me Terms from time to time. If we make a material change, we will post a notice on the Website or otherwise notify you of the change. Please read any changes carefully. If you do not agree to the updated Seller Hire Me Terms, you must stop participating in the Hire Me Program. If you continue to participate in the Hire Me Program after we notify you of changes, you will be deemed to have accepted the updated Seller Hire Me Terms, except to the extent prohibited by applicable law. Some jurisdictions do not permit unilateral updates or changes to terms, so this paragraph may not apply to you.

Additional Terms

These Seller Hire Me Terms are subject to additional terms and conditions, including, without limitation, Sticker Mule's General Terms of Service, IP Rights Policy, Stores Terms, and Privacy Policy (collectively, the "Additional Terms"). The applicable Additional Terms are incorporated into these Seller Hire Me Terms by reference. If there is any conflict between these Seller Hire Me Terms and the applicable Additional Terms, the Seller Hire Me Terms will govern your participation and use of the Hire Me Program. The applicable Additional Terms will otherwise continue to apply to your use of the Services or that specific product, service, program, or portion of the Services.

One set of Additional Terms is our Privacy Policy, which is incorporated herein by reference. Please refer to our Privacy Policy for information about how we collect, use, and disclose information about you. By using the Services, you agree to the terms of our Privacy Policy.

Eligibility and Account Requirements

To be eligible to participate as a Seller in the Hire Me Program and earn Hire Me Payments (defined below), you must:

  • Create a user account on our Website (a "User Account").
  • Be a legal resident of a participating country.
  • Be 18 years of age or older (or the legal age of majority in your jurisdiction).
  • Operate a Store on the Website.

How the Hire Me Program Works

Advertise On Store

On your Store, you may offer design or video services to Users by clicking the "Add service" button and choosing an option. You must specify a flat-rate price that Buyers will pay for completed designs or videos (the "Hire Me Fee").

Buyer Clicks Hire Me Button

When a Buyer visits a Seller's Store, Buyer may click the "Hire me" button to contact Seller to create a project. Buyer will describe the project using Sticker Mule's online form and submit payment details to pay the Hire Me Fee. Seller will then have three days to approve the Hire Me Project.

Clear Scope and Deliverables

Sellers must use the messaging tools on the Website to clearly document the agreed project scope and deliverables (including file type and format). Seller may not be compensated for work performed outside the agreed scope, or beyond any stated revision limits, unless additional revisions or expanded scope and any related fees have been agreed through the Services. Buyers and Sellers are solely responsible for clearly communicating project specifications and deliverables in connection with any Hire Me Project.

Revisions

Unless otherwise expressly stated on the Website or agreed through the Services, Hire Me Projects do not include revisions, and you are not obligated to provide any changes, edits, or additional versions after the final deliverables are provided. If revisions are included or offered as part of a Hire Me Project, the number, scope, timing, and any related fees for such revisions will be as described on the Website or agreed through the Services at the time the Buyer submits the Hire Me Project request. Any additional revisions or material changes in scope that the Buyer requests beyond those agreed may require a new Hire Me Project or additional fees to be processed through the Hire Me Program, as determined by you and permitted by Sticker Mule. Any such additional fees must be disclosed to the Buyer and accepted through the Services before being charged. Any revisions or additional work that you choose to provide outside the agreed scope are made in your discretion and do not modify these Seller Hire Me Terms.

Payment

Unless otherwise permitted by Sticker Mule, Buyer will pay the Hire Me Fee upon acceptance of Seller's offer. The Hire Me Fee will be held until Seller delivers the final product.

Delivery

Seller will have 72 hours to send a design after a Hire Me Project is accepted. Seller must deliver the final design and all files at once. If Seller doesn't deliver on time, Buyer can cancel the Hire Me Project. Sticker Mule will process Buyer's Hire Me Fee payment once the final product is delivered to Buyer.

Hire Me Payments

For each Hire Me Project, Seller will earn Hire Me Payments, as determined by the Hire Me Fee, less Applicable Taxes. "Applicable Taxes" means any applicable sales, use, value-added, goods and services, or similar tax (e.g., sales tax, GST, VAT) that Sticker Mule and/or Seller, as applicable, are required to collect and remit to the relevant tax authorities.

Cancellation

Except as expressly provided in this Section, Hire Me Projects are non-cancellable and all Hire Me Fees are non-refundable. Sellers may not offer or agree to any Buyer cancellation or refund rights that conflict with these Seller Hire Me Terms, the Stores Terms, any relevant Additional Terms, or applicable law. If a Seller fails to deliver the agreed mockup or final file within seven days after accepting the Hire Me Project, Sticker Mule may, in its sole discretion, cancel the project and issue a partial or full refund to Buyer. Any additional cancellation rights or limitations, including where work has already been partially completed, will be governed by the General Terms and any relevant Additional Terms.

Content Standards and Prohibited Projects

Seller shall not accept Hire Me Projects that involve illegal, infringing, hateful, harassing, pornographic, or otherwise prohibited content under Sticker Mule's General Terms. Sticker Mule may, in its sole discretion, cancel any Hire Me Project, with or without notice, and may take any enforcement action permitted under the Additional Terms, including withholding payments, suspending a Seller's Store, or terminating a Seller's account.

On-Platform Communications and Payments

All communications and payments related to Hire Me Projects must occur through Sticker Mule's Website. Sellers shall not solicit or accept payment or work off-platform to avoid fees or policies. Sticker Mule may, subject to applicable law and its Privacy Policy, review communications on its Website as needed for dispute resolution, fraud prevention, recordkeeping, and policy enforcement.

Disputes; Cooperation with Sticker Mule

Seller agrees to cooperate with Sticker Mule in good faith to resolve disputes with any Buyer, including by providing requested information, communications, and project files. Sticker Mule may, in its sole discretion, determine appropriate remedies (including partial or full refunds, cancellation of a Hire Me Project, or account actions) based on available information. Seller authorizes Sticker Mule to implement any such remedies for Hire Me Projects. All of Sticker Mule's decisions with respect to any Hire Me Projects are final and binding.

Buyer Materials and Confidentiality

If a Buyer provides logos, brand assets, or other proprietary materials, Sellers may use those materials only as necessary to complete the project and must not disclose them to third parties except as required to perform the Hire Me Project (and only under obligations of confidentiality no less protective than these). Sellers are responsible for securely handling and deleting Buyer materials consistent with applicable law and Sticker Mule's policies.

Intellectual Property

The Intellectual Property provisions in the General Terms apply to your participation in the Hire Me Program. The following provisions apply specifically to the Hire Me Program.

Seller Representations and Warranties

You represent and warrant that any Hire Me Work you provide is original to you or that you have obtained all necessary rights, licenses, permissions, and consents to assign and license it as described above, and that the Hire Me Work, and its use by Buyer, Sticker Mule, and their respective licensees in accordance with the Additional Terms, does not and will not infringe or misappropriate any third-party intellectual property, proprietary, or personal rights.

Intellectual Property and Rights in Hire Me Projects

As between you and the applicable Buyer, and subject to Buyer's full payment of all fees due for a Hire Me Project, you hereby irrevocably assign and transfer, and agree to assign and transfer to that Buyer all right, title, and interest in and to any and all concepts, designs, works of authorship, and other materials you create, develop, or deliver in connection with the Hire Me Project (each, a "Hire Me Work"), including all associated intellectual property and proprietary rights, to the fullest extent permitted by law. To the extent any such rights may not be assigned, you hereby grant Buyer an exclusive, irrevocable, perpetual, royalty-free, worldwide license (with the right to create derivative works, sublicense and transfer) to exercise all such rights, and you waive, to the maximum extent permitted by law, any moral rights or similar rights you may have in the Hire Me Work.

Licenses to Seller and Sticker Mule

Subject to this assignment, Buyer grants to you, and you acknowledge and agree that Buyer is deemed to grant to you, a non-exclusive, perpetual, transferable, sub-licensable, royalty-free, worldwide license to use, reproduce, display, and perform the Hire Me Work solely for the purpose of marketing and promoting your designs and services (for example, in your portfolio, on your website, or social media). Buyer will also grant to Sticker Mule a non-exclusive, perpetual, transferable, sub-licensable, royalty-free, worldwide license to use, reproduce, modify, adapt, display, perform, distribute, and otherwise exploit the Hire Me Work (i) for the purpose of marketing, advertising, and promoting Sticker Mule's services, the Stores Program, and the Website, and (ii) for manufacturing, fulfilling, and distributing any products incorporating the Hire Me Work that Buyer orders on the Website.

User Content

The User Content provisions in the General Terms apply to any content you submit or provide in connection with the Hire Me Program, including any drafts, mockups, designs, videos, or other materials you upload or transmit through the Services.
