Commissions Terms of Service

PLEASE READ THESE COMMISSIONS PROGRAM TERMS OF SERVICE CAREFULLY BEFORE PARTICIPATING IN STICKER MULE’S COMMISSION PROGRAM. PARTICIPATION IN THIS PROGRAM CONSTITUTES YOUR ACCEPTANCE OF ALL THESE COMMISSION TERMS.
Overview
These Sticker Mule Commissions Program Terms of Service (these “Commissions Terms”) supplement and are incorporated into the Sticker Mule General Terms of Service (the “General Terms”). Capitalized terms used but not defined in these Commissions Terms have the meanings given to them in the General Terms.
In these Commissions Terms, “Sticker Mule,” “we,” “us,” and “our” have the same meanings as in the General Terms, and “you,” “your,” and “Referrer” refer to any User who participates in the Sticker Mule Commissions Program (the “Commissions Program”) by referring a new customer to the Website.
The Commissions Program is part of the Services as described in the General Terms.
Binding Agreement
By participating in the Commissions Program, you are bound by these Commissions Terms and indicate your agreement to them. The Commissions Program is administered by Sticker Mule. All of Sticker Mule’s decisions with respect to the Commissions Program are final and binding.
Our Commissions Terms May Change
We may update these Commissions Terms from time to time. If we make a material change, we will post a notice on the Website or otherwise notify you of the change. Please read any changes carefully. If you do not agree to the updated Commissions Terms, you must stop participating in the Commissions Program. If you continue to participate in the Commissions Program after we notify you of changes, you will be deemed to have accepted the updated Commissions Terms, except to the extent prohibited by applicable law. Some jurisdictions do not permit unilateral updates or changes to terms, so this paragraph may not apply to you.
Additional Terms
These Commissions Terms are subject to additional terms and conditions, including, without limitation, Sticker Mule’s General Terms of Service, IP Rights Policy, Stores Terms, and Privacy Policy (collectively, the “Additional Terms”). The applicable Additional Terms are incorporated into these Commissions Terms by reference. If there is any conflict between these Commissions Terms and the applicable Additional Terms, the Commissions Terms will govern your participation and use of the Commissions Program. The applicable Additional Terms will otherwise continue to apply to your use of the Services or that specific product, service, program, or portion of the Services.
One set of Additional Terms is our Privacy Policy, which is incorporated herein by reference. Please refer to our Privacy Policy for information about how we collect, use, and disclose information about you. By using the Services, you agree to the terms of our Privacy Policy.
Eligibility and Account Requirements
To be eligible to participate as a Referrer in the Commissions Program and earn Commissions Payments, you must:
- Create a user account on our Website (a “User Account”).
- Be a legal resident of a participating country.
- Be 18 years of age or older (or the legal age of majority in your jurisdiction).
- Create a Stripe account at www.stripe.com, if you don’t have one already, and link your Stripe account to your User Account.
How the Program Works
Sign-Up
To participate in the Commissions Program, visit the Website and follow the on-screen instructions to invite a New Customer to the Website. “New Customer” means any person or business that has not previously signed up to receive notifications from Sticker Mule or has not previously purchased any products or services from Sticker Mule.
Making a Referral
There are three ways to invite a New Customer to the Website:
- Referral Link. When Referrer joins the Commissions Program, a unique link assigned to that Referrer (the “Referral Link”) will be available through the commissions dashboard in Referrer’s User Account (the “Commissions Dashboard”). Referrer may share the Referral Link with New Customers by any suitable form of communication. Referrer is solely responsible for using the Referral Link correctly. Sticker Mule is not responsible for any failure by Referrer to receive any Commissions Payments due to incorrect formatting, configuration, or use of the Referral Link.
- Embedded code. Referrer may direct New Customers to the Website by placing an embedded code into Referrer’s website, social media profile, or other web-based platforms, to the extent permitted by those platforms. This embedded code generates an advertisement (the “Referral Ad”), including, without limitation, a banner graphic, linked image, interactive button, or similar content. The code for the Referral Ad is unique to Referrer and is available in the Commissions Dashboard.
- Store & Product Links. Referrer may direct New Customers to Referrer’s online store on the Website (the “Store”). The Store allows New Customers to sign up to receive notifications from Sticker Mule via the “Sign up” button and to purchase products or services listed in Referrer’s Store. Referrer may provide New Customers, by any suitable form of communication, with a link to the Store (a “Store Link”) and/or a link to a specific product in the Store (a “Product Link” and, together with the Store Link, the “Links”). The Links are unique to Referrer and are available in Referrer’s User Account.
Sticker Mule Won’t Contact New Customer
Sticker Mule will not communicate or collect personal information on New Customers unless and until such New Customer signs up to receive communications from Sticker Mule, interacts with Sticker Mule’s website, or makes a purchase from Sticker Mule.
Personal Information
You are prohibited from providing any personal information of New Customers to Sticker Mule directly.
Commissions Payments; Collection
Percentage of New Customers Sales
Referrer will earn a predetermined percentage of sales made by Sticker Mule to a New Customer during the 1 year period starting on the date the New Customer is first tracked by Sticker Mule as being referred by Referrer, either (i) through a Referral Link or a Referral Ad, or (ii) after the New Customer signs up for an account through Referrer’s Store (“Commissions Payment”). The predetermined percentage is based on factors such as the product type(s) and the value of the sale(s). There is no limit on the number of Commissions Payments Referrer may earn.
Timing of Commissions Payments
Commissions Payments will be awarded to Referrer no later than sixty (60) days after the expiration of the returns period on the order(s) made by the New Customer. Commissions Payments will be paid monthly into Referrer’s wallet (“Wallet”) accessible on the Commissions Dashboard. Commissions Payments are automatically deposited into Referrer’s Stripe account at the beginning of each month.
Taxes
Referrer is solely responsible for paying any applicable taxes owed to any taxing authority arising from or in connection with Referrer’s receipt of Commissions Payments and shall cooperate with Sticker Mule by providing all required tax information.
Stripe Account
Stripe, a third-party vendor, processes all payments made in connection with the Services. Sticker Mule is not affiliated with Stripe and is not responsible for any changes to, or unavailability of, any Stripe service that may affect the Commissions Program, including any limitations, restrictions, or conditions on Referrer’s ability to use Stripe to receive Commissions Payments, or Referrer’s ability to access Stripe, receive notices from, or communicate with Sticker Mule through Stripe.
It is Referrer’s responsibility to:
- Configure their Stripe account as needed to comply with these Commissions Terms and any Additional Terms.
- Accept transactions and communications from Sticker Mule.
- Maintain current and accurate Stripe account details.
- Check their Stripe account in a timely manner for direct messages from Sticker Mule regarding the Commissions Program.
If Sticker Mule cannot pay you because your Stripe account is not properly configured, you have provided incorrect or outdated information, or payment is otherwise rejected, your Commissions Payments may be delayed, withheld, or, where permitted by law, donated to a charity of Sticker Mule’s choice.
Restrictions on Commissions Program Use
Without limiting the foregoing, the following restrictions apply:
- No Commissions Payments will be earned if your User Account is not in good standing, you are in breach of these Commissions Terms or any Additional Terms, or there are complaints or findings of spam, fraud, or other inappropriate or suspicious activity.
- Purchases made by Buyers using any certain promotions may not qualify for Commissions Payments, as determined by Sticker Mule.
- Orders returned, cancelled, or refunded will not qualify for Commissions Payments. Associated Commissions Payments may be reversed.
- Any Commissions Payments are personal to Referrer and may not be sold, transferred, assigned, or shared with third parties.
- All Commissions Payments remain the property of Sticker Mule unless and until paid to Referrer.
- Participating in the Commissions Program does not authorize the Referrer to act on behalf of Sticker Mule.
- Sticker Mule will not be liable for losses arising from incorrect or incomplete payment details provided by Referrer.
- Sticker Mule may establish minimum payment thresholds, where the Commissions Payments do not exceed any applicable threshold for the relevant period, payment may be postponed until the threshold is exceeded.
- Sticker Mule has sole authority and discretion in determining cases involving suspected abuse, fraud, or violation of these Commissions Terms or any Additional Terms and may cancel, change, or suspend the Commissions Program or a Referrer’s participation, including making Commissions Payments unavailable.
- Sticker Mule reserves the right to discontinue any Commissions Payments earned by (i) a Referrer who has been inactive for twenty-four (24) consecutive months, or (ii) a Referrer who terminates their User Account. A Referrer is considered inactive if no Commissions Payments have been earned in the immediately preceding twenty-four (24) months. In either case, all unpaid, accumulated Commissions Payments are forfeited and void.
Referrer’s Representations & Responsibilities
By participating in the Commissions Program, you agree that you shall not:
- Refer yourself or create multiple, fictitious or fake accounts with Sticker Mule to participate in the Commissions Program as a New Customer.
- Manipulate traffic or orders to increase Commissions Payments.
- Collect, store, or sell New Customer personal data.
- Impede another Referrer’s use of the Commissions Program.
- Use your own funds to make additions to the contents of their Commissions Dashboard or Wallet, or increase the number of Commissions Payments in their Commissions Dashboard or Wallet; only Sticker Mule’s funds shall be used to provide Commissions Payments under this Commissions Program.
You understand and agree that these prohibitions are not exhaustive, and Sticker Mule may determine in its sole discretion whether particular conduct violates the spirit or intent of the Commissions Program.
Confidential Information
While participating in the Commissions Program, Referrer may receive or become privy to confidential or proprietary information belonging to Sticker Mule or to New Customers (“Confidential Information”). You agree to keep all Confidential Information in strict confidence, to use it only as necessary to participate in the Commissions Program, and not to disclose it to any third party except as expressly permitted by Sticker Mule in writing.
Notwithstanding anything to the contrary in these Commissions Terms, Referrer agree to keep confidential the names and contact information of any referred customers or New Customers, and not to use such information for any purpose other than fulfilling orders or otherwise participating in the Commissions Program.
Termination
Either party can terminate participation in the Stores Program at any time for any reason.
