Contributor Terms of Service

PLEASE READ THESE CONTRIBUTOR PROGRAM TERMS OF SERVICE CAREFULLY BEFORE PARTICIPATING IN STICKER MULE’S CONTRIBUTOR PROGRAM. PARTICIPATION IN THIS PROGRAM CONSTITUTES YOUR ACCEPTANCE OF ALL THESE CONTRIBUTOR TERMS.
Overview
These Contributor Program Terms of Service (these “Contributor Terms”) supplement and are incorporated into the Sticker Mule General Terms of Service (the “General Terms”). Capitalized terms used but not defined in these Contributor Terms have the meanings given to them in the General Terms.
In these Contributor Terms, “Sticker Mule,” “we,” “us,” and “our” have the same meanings as in the General Terms, and “you,” “your,” and “Contributor” refer to any User who participates in the Sticker Mule Contributor Program (the “Contributor Program”) by submitting original artwork and layouts for use as design templates (“Designs”).
Sticker Mule’s Studio app (“Studio”) allows users to create designs using professionally developed design templates. Under the Contributor Program, you can earn money by submitting Designs to Sticker Mule. If Sticker Mule accepts one of your Designs, you will receive a Contributor Payment (defined below).
The Contributor Program is part of the Services as described in the General Terms.
Binding Agreement.
By participating in the Contributor Program, you are bound by these Contributor Terms and indicate your agreement to them. The Contributor Program is administered by Sticker Mule. All of Sticker Mule’s decisions with respect to the Contributor Program are final and binding.
Our Contributor Terms May Change.
We may update these Contributor Terms from time to time. If we make a material change, we will post a notice on the Website or otherwise notify you of the change. Please read any changes carefully. If you do not agree to the updated Contributor Terms, you must stop participating in the Contributor Program. If you continue to participate in the Contributor Program after we notify you of changes, you will be deemed to have accepted the updated Contributor Terms, except to the extent prohibited by applicable law. Some jurisdictions do not permit unilateral updates or changes to terms, so this paragraph may not apply to you.
Additional Terms.
These Contributor Terms are subject to additional terms and conditions, including, without limitation, Sticker Mule’s General Terms of Service, IP Rights Policy, Stores Terms, and Privacy Policy (collectively, the “Additional Terms”). The applicable Additional Terms are incorporated into these Contributor Terms by reference. If there is any conflict between these Contributor Terms and the applicable Additional Terms, the Contributor Terms will govern your participation and use of the Contributor Program. The applicable Additional Terms will otherwise continue to apply to your use of the Services or that specific product, service, program, or portion of the Services.
One set of Additional Terms is our Privacy Policy, which is incorporated herein by reference. Please refer to our Privacy Policy for information about how we collect, use, and disclose information about you. By using the Services, you agree to the terms of our Privacy Policy.
Eligibility and Account Requirements
To be eligible to participate as a Contributor in the Contributor Program and earn Contributor Payments (defined below), you must:
- Create a user account on our Website (a “User Account”).
- Be a legal resident of a participating country.
- Be 18 years of age or older (or the legal age of majority in your jurisdiction).
- Create a Stripe account at www.stripe.com, if you don’t have one already, and link your Stripe account to your User Account.
- Submit at least 3 Studio original designs you’ve created.
How the Contributor Program Works.
Become a Contributor. Join our community of creators: Become a Contributor.
Application Review. Sticker Mule will review your application to become a Contributor, and will notify you of its decision by email.
Design Submission. After your application to become a Contributor is accepted, you may submit proposed Designs to Sticker Mule through the Studio app by clicking the “Submit” button and uploading a digital file (for example, a high-resolution PNG, JPG, SVG, or layered PSD/AI file).
Sticker Mule Review. Sticker Mule will review each proposed Design and, in its sole discretion, will either (i) accept a Design (each, a “Published Design”), (ii) request modifications, or (iii) reject your proposed Design (each, a “Rejected Design”). If Sticker Mule requests modifications, Contributor agrees to use commercially reasonable efforts to make and resubmit the requested changes in a timely manner; however, Sticker Mule remains free, in its sole discretion, to accept or ultimately reject any modified Design.
Payment. For each Published Design, Sticker Mule will pay Contributor a flat fee of $10.00 U.S. dollars (the “Contributor Payment”). The Contributor Payment will be paid into Contributor’s Stripe account 5 days after approval, subject to any minimum payout thresholds or other payment conditions established by Sticker Mule.
Taxes. Contributor is solely responsible for paying any applicable taxes owed to any taxing authority arising from or in connection with Contributor’s receipt of a Contributor Payment and shall cooperate with Sticker Mule by providing all required tax information.
Stripe Account. Stripe, a third-party vendor, processes all payments made in connection with the Services. Sticker Mule is not affiliated with Stripe and is not responsible for any changes to, or unavailability of, any Stripe service that may affect the Contributor Program, including any limitations, restrictions, or conditions on Contributor’s ability to use Stripe to receive a Contributor Payment, or Contributor’s ability to access Stripe, receive notices from, or communicate with Sticker Mule through Stripe.
It is Contributor’s responsibility to:
- Configure your Stripe account as needed to comply with these Contributor Terms and any Additional Terms.
- Accept transactions and communications from Sticker Mule.
- Maintain current and accurate Stripe account details.
- Check your Stripe account in a timely manner for direct messages from Sticker Mule regarding the Contributor Program.
If Sticker Mule cannot pay you because your Stripe account is not properly configured, you have provided incorrect or outdated information, or payment is otherwise rejected, your Contributor Payment may be delayed, withheld, or, where permitted by law, donated to a charity of Sticker Mule’s choice.
Intellectual Property.
By participating in the Contributor Program, you agree to comply with these provisions:
- Assignment of Rights. As a condition of the Contributor Payment, Contributor hereby irrevocably assigns and transfers, and agrees to assign and transfer, to Sticker Mule all right, title, and interest in and to each Published Design, including all intellectual property and proprietary rights therein, to the fullest extent permitted by law, and waives any moral rights in each Published Design to the maximum extent permitted by law. To the extent any such assignment is not effective under applicable law, you instead grant Sticker Mule an exclusive, perpetual, worldwide, royalty free license to use, reproduce, modify, and create derivative works of a Published Design for any lawful purpose.
- Rejected Designs; Limited License. Sticker Mule will not offer products using Rejected Designs or feature Rejected Designs on the Website for sale. However, Contributor grants Sticker Mule a non-exclusive, perpetual, transferable, sublicensable, royalty-free, worldwide license to use, reproduce, store, and display any Rejected Design for Sticker Mule’s internal business purposes, including, without limitation, tracking, auditing, training, and compliance.
- Contributor Representations & Warranties. Contributor represents and warrants that all proposed Designs are either (i) original to Contributor, or (ii) submitted with all rights, licenses, and permissions necessary for Sticker Mule’s use, assignment, and licensing as described in these Contributor Terms. Contributor further represents and warrants that Sticker Mule’s use of any Design in accordance with these Contributor Terms will not infringe, misappropriate, or otherwise violate any intellectual property, privacy, publicity, or other rights of any third party.
Restrictions on Contributor Program Use.
Without limiting other remedies, the following restrictions apply:
- No Contributor Payments will be earned if your User Account is not in good standing, you are in breach of these Contributor Terms or any Additional Terms, or there are complaints or findings of spam, fraud, or other inappropriate or suspicious activity.
- Any Contributor Payment is personal to Contributor and may not be sold, transferred, assigned, or shared with third parties.
- All Contributor Payments remain the property of Sticker Mule unless and until paid to Contributor.
- Participating in the Contributor Program does not authorize the Contributor to act on behalf of Sticker Mule.
- Sticker Mule will not be liable for losses arising from incorrect or incomplete payment details provided by Contributor.
- Sticker Mule may establish minimum payment thresholds, where the Contributor Payments do not exceed any applicable threshold for the relevant period, payment may be postponed until the threshold is exceeded.
- Sticker Mule has sole authority and discretion in determining cases involving suspected abuse, fraud, or violation of these Contributor Terms or any Additional Terms, and may cancel, change, or suspend the Contributor Program or a Contributor’s participation, including making a Contributor Payment unavailable.
Contributor’s Responsibilities.
By participating in the Contributor Program, Contributor shall not:
- Submit Designs that have already been rejected by Sticker Mule.
- Impede or interfere with another Contributor’s use or enjoyment of the Contributor Program.
- Use bots, scripts, or other automated means to participate in, interact with, or obtain benefits from the Contributor Program.
- Use any Sticker Mule trademarks, copyrighted material, names, logos, or other intellectual property.
You understand and agree that these prohibitions are not exhaustive, and Sticker Mule may determine in its sole discretion whether particular conduct violates the spirit or intent of the Contributor Program.
Termination.
Either party can terminate participation in the Contributor Program at any time for any reason.
