Reply Terms of Service

PLEASE READ THESE REPLY PROGRAM TERMS OF SERVICE CAREFULLY BEFORE PARTICIPATING IN STICKER MULE'S REPLY PROGRAM. PARTICIPATION IN THIS PROGRAM CONSTITUTES YOUR ACCEPTANCE OF ALL THESE REPLY TERMS.
Overview
These Sticker Mule Reply Program Terms of Service (these "Reply Terms") supplement and are incorporated into the Sticker Mule General Terms of Service (the "General Terms"). Capitalized terms used but not defined in these Reply Terms have the meanings given to them in the General Terms.
The Reply Program provides you the opportunity to use the Reply tool on the Website ("Reply Tool") that lets you connect one or more of your social media accounts, view and organize incoming messages and mentions, and send replies (each, a "Conversation"). In these Reply Terms, "Sticker Mule," "we," "us," and "our" have the same meanings as in the General Terms, and "you" and "your" refer to any User who connects a social media account or manages Conversations using the Reply Tool.
The Reply Program and Reply Tool are part of the Services as described in the General Terms.
Binding Agreement.
By participating in the Reply Program, you are bound by these Reply Terms and indicate your agreement to them. The Reply Program is administered by Sticker Mule. All of Sticker Mule's decisions with respect to the Reply Program are final and binding.
Our Reply Terms May Change.
We may update these Reply Terms from time to time. If we make a material change, we will post a notice on the Website or otherwise notify you of the change. Please read any changes carefully. If you do not agree to the updated Reply Terms, you must stop participating in the Reply Program. If you continue to participate in the Reply Program after we notify you of changes, you will be deemed to have accepted the updated Reply Terms, except to the extent prohibited by applicable law. Some jurisdictions do not permit unilateral updates or changes to terms, so this paragraph may not apply to you.
Additional Terms.
These Reply Terms are subject to additional terms and conditions, including, without limitation, Sticker Mule's General Terms of Service, IP Rights Policy, Stores Terms, and Privacy Policy (collectively, the "Additional Terms"). The applicable Additional Terms are incorporated into these Reply Terms by reference. If there is any conflict between these Reply Terms and the applicable Additional Terms, these Reply Terms will govern your participation and use of the Reply Program. The applicable Additional Terms will otherwise continue to apply to your use of the Services or that specific product, service, program, or portion of the Services.
One set of Additional Terms is our Privacy Policy, which is incorporated herein by reference. Please refer to our Privacy Policy for information about how we collect, use, and disclose information about you. By using the Services, you agree to the terms of our Privacy Policy.
Eligibility and Account Requirements.
To be eligible to use the Reply Tool, you must:
- Create a user account on our Website (a "User Account").
- Be a legal resident of a participating country.
- Be 18 years of age or older (or the legal age of majority in your jurisdiction).
Certain features of the Reply Program may be available only to specific account types (for example, Pro or ID‑verified accounts), as described on the Website.
Use of the Reply Tool.
Connecting Third-Party Accounts. The Reply Tool allows you to connect one or more of your social media accounts (each, a "Connected Account") so that you can view and respond to Conversations through the Reply Tool. By connecting a Connected Account, you represent that you have the authority to do so and you authorize Sticker Mule to access, use, and process information from that Connected Account to operate and support the Reply Program and the features you use. This may include retrieving messages, mentions, profile information, and other content, and sending replies on your behalf when you instruct us to do so.
Disconnecting Connected Accounts. You can disconnect a Connected Account at any time through your User Account settings, but this may limit or disable some features of the Reply Program.
Manage Conversations and Send Replies. The Reply Tool provides a shared inbox to help you view, organize, assign, and reply to Conversations from Connected Accounts. Replies you send through the Reply Tool are transmitted through the applicable third-party social media platform and are subject to that platform's own delivery, availability, and moderation processes. You are solely responsible for the content of any replies or other messages you send using the Reply Tool, and for ensuring that those communications comply with these Reply Terms.
Team Use. The Reply Tool may allow you to grant other Users access to manage Conversations for one or more Connected Accounts (for example, through a team or shared workspace). You are responsible for: (i) choosing who has access to your Connected Accounts and Conversations through the Reply Tool; and (ii) any actions those Users take using the Reply Tool in connection with your Connected Accounts. If you grant another User access, you confirm that you have the right to do so and that their use will comply with these Reply Terms.
Role of Sticker Mule. Sticker Mule acts solely as a platform provider for the Reply Tool. We provide a technical means for you to connect Connected Accounts, view Conversations, and send replies. We do not initiate or control the Conversations you have, and we do not speak on your behalf except to the extent you send replies through the Reply Tool. Sticker Mule has no obligation to monitor Conversations or your use of the Reply Tool, but may remove or restrict access to the Reply Program, or to particular features, in its sole discretion.
Availability of Reply Program. The Reply Program and the Reply Tool depend in part on third-party social media platforms and their APIs, features, and policies. The Third-Party Content and Interactions section of the General Terms applies in full to your use of the Reply Program and to any third-party platforms or services you connect through the Reply Tool, and is incorporated into these Reply Terms by reference. We will use commercially reasonable efforts to keep the Reply Program active. We do not guarantee that the Reply Program will be available at any given time or will work with any specific platform or account.
Third-Party Platform Changes. Third‑party platforms may change, restrict, or discontinue their APIs or features, update their terms or policies, or experience outages or other issues. These issues may affect your ability to connect accounts, view Conversations, or send replies through the Reply Tool. Sticker Mule may modify, suspend, or discontinue all or part of the Reply Program in response to such changes or for maintenance, security, legal, or business reasons. Sticker Mule will not be liable for any resulting suspension, interruption, or discontinuance of the Reply Program.
Processing of Personal Information. When you use the Reply Program, we may process personal information from you, from your Connected Accounts, and from people who interact with you on third‑party platforms (for example, followers who send you messages or mentions). We use this information to provide and improve the Reply Program and as otherwise described in our Privacy Policy.
License to Use Reply Tool. Sticker Mule grants you a personal, limited, non-exclusive, non-transferable, non-sublicensable, and revocable license to access and use the Reply Tool in accordance with these Reply Terms and the General Terms. Any violation of these Reply Terms is grounds for immediate termination of this license and may result in legal action by Sticker Mule.
User Content. Messages, replies, assignments, notes, and other materials you send, receive, or store using the Reply Tool are "User Content" under the General Terms. The User Content section of the General Terms applies in full to all User Content associated with your use of the Reply Tool and any Connected Account. Those General Terms provisions are incorporated into these Reply Terms by reference. You are solely responsible for your User Content and for ensuring that you have all rights and permissions needed to use and share it through the Reply Program. Sticker Mule is not obligated to monitor User Content related to the Reply Program, but may remove, hide, or restrict any User Content in its sole discretion for any or no reason.
Your Responsibilities and Representations.
You are solely responsible for your use of the Reply Program and for each Conversation you manage using the Reply Tool. This includes:
- Complying with these Reply Terms, the General Terms, and all relevant Additional Terms.
- Complying with all applicable laws and regulations, including those relating to privacy, data protection, marketing, spam, and consumer protection.
- Complying with the terms, policies, and guidelines of each third-party platform you connect (for example, third-party platforms' terms of service, anti-spam rules, and developer policies).
- Ensuring that you have the authority to connect each Connected Account and to grant any team access you choose to provide.
By using the Reply Program, you represent and warrant that:
- You have all rights and permissions necessary to authorize Sticker Mule to access and process data from each Connected Account as described in these Reply Terms.
- You will not use the Reply Program to send unsolicited or abusive messages, to harass, threaten, or bully any person, or to promote illegal, unsafe, or discriminatory content.
- Your use of the Reply Program, and all of your User Content, will not infringe, misappropriate, or violate any third-party rights or these Reply Terms or the General Terms.
Sticker Mule does not review or approve Conversations before they are sent, and you acknowledge that you, and not Sticker Mule, are responsible for your use of the Reply Program and for any consequences of the messages you send.
Disclaimer; Limitation of Liability.
Your participation in the Reply Program and use of the Reply Tool is subject to the Warranty Disclaimer, Indemnification & Release, and Limitation of Liability sections in the General Terms, which are incorporated into these Reply Terms by reference.
For clarity, Sticker Mule is not responsible or liable for:
- The availability, performance, policies, or actions of any third-party platform or service;
- Any messages you send or fail to send, or for how others interpret or rely on those messages; or
- Any enforcement actions, suspensions, or other consequences imposed by third-party platforms in connection with your use of the Reply Program.
