PLEASE READ THESE TERMS AND CONDITIONS (“TERMS”) CAREFULLY BEFORE USING THE GIVE TOOL

You are reading these Terms because you are using STICKER MULE, LLC’s (including its affiliates, which we may collectively refer to as “Sticker Mule”, “we”, “us” or “our”) website. As used in these Terms, the words “you” and “your” refers to any user accessing the Give Tool (“Tool”) including without limitation users who are visitors, browsers, vendors, customers, Sticker Mule merchants, administrators, and/or contributors of content (each a “user” and collectively “users”).

Sticker Mule offers the Tool to you, the user, conditioned upon your acceptance of all terms, conditions, policies and notices stated here. By interacting with the Tool in any way, you agree to be bound by these Terms, including those additional terms and conditions and policies referenced herein and/or available by hyperlink. By accessing or using any part of the Tool, you agree to be bound by these Terms. If you do not agree to all the terms and conditions of these Terms, then you may not access the Tool . If these Terms are considered an offer, acceptance is expressly limited to these Terms. Any new features or tools which are added to the current Tool shall also be subject to the Terms.

These Terms create a legally binding agreement between you and Sticker Mule.

By interacting with the Tool in any way, you also agree to our Privacy Policy, which is expressly incorporated as part of these Terms. Our Privacy Policy describes the collection and use of personal information.

OUR TERMS MAY CHANGE

We may update these Terms from time to time. If a material change is made, we will provide a notice on the Tool or send you a notification. Read through any changes, and if you do not agree to them, please stop using the Tool. If you continue to interact with the Tool after we notify you of changes, you will be deemed to have accepted the updated Terms, except to the extent prohibited by applicable law. Some jurisdictions do not permit unilateral updates or changes to consumer terms, so this paragraph may not apply to you. As such, you may wish to keep a copy of the Terms to which you agree.

  1. ELIGIBILITY

    You are only eligible to use the Tool if you are 18 years of age or over and the legal age of majority in your state or country. By using the Give Tool, you confirm that you (a) are at least 18 years of age and the legal age of majority in your state/country; (b) possess the legal authority to enter into these Terms, including instructing us and/or our vendors to collect any payments from a credit or debit card; (c) have not been previously suspended or removed from the Tool, or engaged in any activity that could result in suspension or removal from the Tool; and (d) are providing accurate and current information about yourself in connection with creating your Tool user account. Users, including Unique Sweepstakes creators may not use the Tool for any illegal or unauthorized purpose nor may you violate any laws in your jurisdiction (including but not limited to copyright laws). You must not transmit any worms, viruses, malware, ransomware, or any malicious code of a destructive or damaging nature. A breach or violation of any of the Terms may result in an immediate termination of all our services to you and your ability to use the Tool.

  2. LICENSE TO USE THE TOOL

    Sticker Mule hereby grants you a limited, non-assignable, non-sublicensable, non-transferable, non-exclusive license to use the Tool subject to and in accordance with these Terms. Sticker Mule reserves the right, in its sole discretion, to determine whether you are using the Tool in a responsible and appropriate way, in accordance with these Terms. Any violation of the terms of these Terms is grounds for immediate termination of this limited license and your account, and may result in legal action by Sticker Mule. Sticker Mule reserves all rights, title, and interest (including the right to enforce any such rights) not expressly granted by these Terms.

    The Tool is primarily comprised of the following aspects:

    • Creating giveaways: Users with a Sticker Mule account can create random-draw giveaways (“Unique Sweepstakes”) with prizes using a pre-built feature on the Tool, to be solely administered by Sticker Mule and run on the Tool. Restrictions relating to giveaways apply. Sticker Mule shall administer official rules, winner declarations of eligibility and releases, winner selection, notification, verification, and prize fulfillment, including shipment of all prizes to winners.

    • Prizes: Limited to T-shirts only.

  3. ACCOUNTS AND PASSWORD MANAGEMENT

    Sticker Mule (in its sole discretion) reserves the right to suspend or terminate any or all of a user’s accounts and privileges and terminate, withhold, or revoke the awarding of any prizes for violation of these Terms.

  4. USER CONTENT

    Users agree that Sticker Mule may (but is not obligated to) filter any user content (including, without limitation, deleting or replacing expletives or other harmful or offensive language), refuse to use any user content (including, without limitation, suspending processing and shipping of any order relating to any user content) and/or disclose any user content and the circumstances surrounding the use thereof, to any third party in order to provide the applicable products or services, for any reason, including to enforce these Terms, or to comply with legal obligations or requests from government officials, including law enforcement. Users may not (and may not permit any third party to) express or imply that Sticker Mule endorses any statements made by users.

  5. GIVEAWAY TERMS

    No Purchase or Payment is Necessary to Enter or Win any Unique Sweepstakes. A PURCHASE OR PAYMENT WILL NOT INCREASE YOUR CHANCES OF WINNING. AGREEING TO STICKER MULE’S USE OF YOUR PERSONAL DATA, SUCH AS YOUR E-MAIL ADDRESS, WILL NOT INCREASE YOUR CHANCES OF WINNING. VOID WHERE PROHIBITED OR RESTRICTED BY LAW OR REGULATION. YOU MAY ALSO PARTICIPATE IN THIS UNIQUE SWEEPSTAKES BY E-MAIL ENTRY AS SPECIFIED BELOW. ALL USERS WHO PARTICIPATE IN THIS UNIQUE SWEEPSTAKES BY E-MAIL MAY OPT OUT OF STICKER MULE’S USE OF PERSONAL DATA POLICY BY INCLUDING A REQUEST TO OPT OUT IN THEIR ENTRY FORM.

    BY ENTERING THIS UNIQUE SWEEPSTAKES, YOU AGREE TO THESE OFFICIAL RULES, WHICH FORM A CONTRACT. WITHOUT LIMITATION, THIS CONTRACT INCLUDES INDEMNITY OBLIGATIONS ON THE PART OF ENTRANT AND A LIMITATION OF ENTRANT’S RIGHTS AND REMEDIES.

    ELIGIBILITY: Unique Sweepstakes are open to legal residents of the fifty (50) United States and the District of Columbia who are eighteen (18) years of age or older at the time of entry. Persons in any of the following categories are NOT eligible to win a Prize: (a) any employees or agents of Sticker Mule administration of the Unique Sweepstakes; and (c) any persons who are in the immediate family of any person in any of the preceding categories (including mother, father, sister, brother, daughter, son, spouse, grandmother, grandfather, or grandchildren), regardless of where they live; or persons who reside in the same household, whether related or not, as any person in any of the preceding categories. All eligibility is subject to all federal, state and local laws and regulations. All entries submitted are the property of Sticker Mule. Sticker Mule’s designated database clock, the integrated Tool module, will be the timekeeper for any Unique Sweepstakes.

    SWEEPSTAKES TIMING: A Unique Sweepstakes will begin as soon as a user launches, or causes the Unique Sweepstakes to go live and will end at an interval set by the user who creates the Unique Sweepstakes and denoted in the field entry window for that Unique Sweepstakes.

    • Intervals: Unique Sweepstakes shall run for a specified period of 24 hours, 48 hours, 72 hours, 96 hours, or 120 hours (“Unique Sweepstakes Period”) to be determined, prior to launch of the Unique Sweepstakes by the user which creates the respective Unique Sweepstakes (“Unique Sweepstakes Creator”). A Unique Sweepstakes Creator may not change the interval selected once the Unique Sweepstakes has launched.
    • Winners: At the end of each Unique Sweepstakes Period, a minimum of five (5) winners will be randomly selected by a Tool integrated module. The total number of winners to be selected in any given Unique Sweepstakes shall be denoted in the field entry window for that Unique Sweepstakes. At the close of each Unique Sweepstakes Period, winners will be randomly selected by a Tool integrated module, from all eligible entries received during the Unique Sweepstakes Period.

    Only entries that include a fully compliant entry, either through submitting a complete participant entry form or by submitting an e-mailed entry form with Entrant’s name, age, telephone number, address (“Required Information”), will be eligible for the Unique Sweepstakes. Entry in a Unique Sweepstakes does not constitute entry into any other promotion, contest, or sweepstakes. By participating in a Unique Sweepstakes, each Entrant unconditionally accepts and agrees to comply with and abide by these Official Rules and the decisions of Sticker Mule, LLC, 336 Forest Ave, Amsterdam, NY 12010 (“Sticker Mule”), whose decisions shall be final and legally binding in all respects and not subject to further review in any forum.

    HOW TO ENTER:

    During a Unique Sweepstakes Period, fill out all fields of entry within the portal for that respective Unique Sweepstakes or e-mail in your entry with all Required Information (“Entry”). By submitting your entry, or e-mailing in your entry, you enter the contest (becoming an “Entrant”) and agree to the Official Rules. After you submit your entry or once your e-mailed entry is received by Sticker Mule, you will automatically be entered into the Unique Sweepstakes. LIMIT: One (1) entry during the Unique Sweepstakes Period, per person.

    E-Mail: To enter without submitting an entry within the entry portal, please e-mail your complete name, mailing address, phone number, and age to help@stickermule.com (SUBJECT LINE must read: “GIVE Unique Sweepstakes”), and the body must include a URL link to the specific Unique Sweepstakes for which you wish to submit an entry. A user may choose to opt out of Sticker Mule’s Use of Personal Data Policy, as provided below, by including a request to opt out within the e-mailed entry form. To opt out of Sticker Mule’s Use of Personal Data Policy, the user must type “I wish to opt out of Sticker Mule’s Use of Personal Data Policy” in the body of the e-mailed entry. E-mailed entries may not be more than 250 words. Any e-mailed entries which are in excess of the 250 word count limit shall be considered null and void and will not be considered for entry into a Unique Sweepstakes. All e-mailed entries must be sent within the Unique Sweepstakes Period and received by Sticker Mule within the Unique Sweepstakes Period. There is a limit of one (1) e-mailed entry per person. Multiple entries submitted or completed by anyone other than the Entrant are void. No mechanical reproductions will be accepted. E-mailed entries must contain all entry fields outlined above; otherwise, they are void and will not be eligible to win.

    Entry Notes: Any attempted form of entry other than as described herein is void. Sticker Mule will determine, at its sole discretion, what constitutes a valid entry and reserves the right to reject any Entry that it deems, in its sole discretion, to violate any of Sticker Mule’s policies, standards, or practices. All materials submitted become the property of Sticker Mule and will not be returned or acknowledged. Sticker Mule reserves the right to cancel or modify any specific Unique Sweepstakes for any reason, including if fraud or technical failures impair the integrity of the Unique Sweepstakes as determined by Sticker Mule, at its sole discretion, and to award the Prizes for the Unique Sweepstakes based on eligible entries received prior to the cancellation.

    If you opt to access or enter the Unique Sweepstakes via your wireless mobile device, data rates may apply according to the terms and conditions of your service agreement with your wireless carrier. Other charges may apply (such as normal airtime and carrier charges as well as charges for wireless Internet access) and may appear on your mobile phone bill or be deducted from your prepaid account balance. Wireless carriers’ rate plans may vary, and you should contact your wireless carrier for more information on data rate plans and charges relating to your participation in any Unique Sweepstakes. Mobile device service may not be available in all areas. Check your phone’s capabilities for specific instructions. Sticker Mule is not responsible for any charges.

    Use of Personal Data: Sticker Mule will be collecting personal data about Entrants, including names and e-mails for use in future marketing and outreach, and in accordance with their privacy policies. Please review Sticker Mule’s privacy policies at https://www.stickermule.com/legal/privacy. By participating in any Unique Sweepstakes, Entrants hereby agree to Sticker Mule’s collection and usage of their personal information and acknowledge that they have read and accepted Sticker Mule’s privacy policies. You are supplying information to Sticker Mule.

    Entry Notes: Entries made on another’s behalf by any individuals or other entities, including but not limited to, commercial sweepstakes/contest subscription notification and/or entering services, will be declared invalid and disqualified for any Unique Sweepstakes. Tampering with the Entry process or the operation of any Unique Sweepstakes is prohibited, and any Entries deemed by Sticker Mule, at its sole discretion, to have been submitted in this manner will be void. In the event a dispute regarding the identity of the individual who actually submitted an entry cannot be resolved to Sticker Mule’s satisfaction, the affected Entry will be deemed ineligible.

    Sticker Mule is not responsible for problems downloading or uploading any Unique Sweepstakes-related information to or from https://www.stickermule.com, or for any other technical malfunctions of electronic equipment, computer on-line systems, servers, or providers, computer hardware or software failures, phone lines, failure of any electronic mail entry to be received by Sticker Mule on account of technical problems, traffic, congestion on the internet or the web site, lost or delayed mail, or any other technical problems related to web site entries including telecommunication miscommunication or failure, and failed, lost, delayed, incomplete, garbled or misdirected communications which may limit an Entrant’s ability to participate in any Unique Sweepstakes.

    SWEEPSTAKES DRAWING: Random drawing will be conducted by the Tool integrated module at the end of each Unique Sweepstakes Period from all eligible entries received during each Unique Sweepstakes Period (the “Unique Sweepstakes Drawing”).

    PRIZES: At the end of each Unique Sweepstakes Period, one (1) t-shirt (“Prize”) per winner will be issued to a minimum of five (5) winners randomly selected by a Tool integrated module. The total number of winners to be selected in any Unique Sweepstakes shall be denoted in the field entry window for that Unique Sweepstakes. At the close of each Unique Sweepstakes Period, winners will be randomly selected by a Tool integrated module, from all eligible entries received during the Unique Sweepstakes Period. The total value of all prizes for any Unique Sweepstakes is under $2,500.00. Odds of winning depend on the number of eligible entries received for the Sweepstakes. Each Prize winner is responsible for any and all applicable fees, service charges, surcharges, all insurance, federal, state, and local taxes, and any other unspecified expenses associated with acceptance or use of the Prize. If the Prize or the Prize notification is returned as undeliverable, or a drawn entry or Entrant has any non-compliance with the Official Rules, this will result in forfeiture of the Prize and the Prize will be awarded to an alternate winner via a random drawing from all remaining eligible entries. Each Prize will be awarded only if the Prize winner fully complies with these Official Rules.

    WINNER NOTIFICATION: Prize winners will be notified via e-mail sent to the e-mail provided by Entrant upon submission. Each Prize winner will be notified within three (3) business days of the Unique Sweepstakes Drawing. Once eligibility has been verified and Sticker Mule receives the Prize winner’s Required Information, Sticker Mule will arrange to award the Prize. Prize winner must reply with all Required Information and any other information necessary to verify eligibility in order to receive their Prize.

    LIMITATION OF LIABILITY: Neither Sticker Mule nor any of its respective affiliated entities or any of its respective shareholders, officers, directors, employees, agents, attorneys, successors and assigns (the “Released Parties”) shall be held responsible for, and Entrant hereby releases the Released Parties from any claims arising from or in any way relating to: (i) technical failures of any kind, including but not limited to the malfunctioning of any computer, cable, network, hardware or software; (ii) the unavailability or inaccessibility of any transmissions, telephone or Internet service, or lost or delayed mail; (iii) unauthorized human intervention in any part of the entry process or the Unique Sweepstakes; (iv) electronic or human error which may occur in the administration of the Sweepstakes or the processing of entries; (v) any injury, death or damage to persons or property, including but not limited to Entrant’s computer, hardware or software, which may be caused, directly or indirectly, in whole or in part, from Entrant’s participation in the Sweepstakes; (vi) use of any Prize; and (vii) the Unique Sweepstakes Drawing process including the outcome of any Unique Sweepstakes.

    INDEMNIFICATION: Users agree to indemnify, defend, and hold harmless Sticker Mule, its affiliates, officers, directors, employees, agents, licensors, and successors (collectively, the "Indemnified Parties") from and against any and all claims, demands, actions, suits, losses, liabilities, damages, costs, and expenses (including reasonable attorneys’ fees and court costs) arising out of or relating to your use of the Tool in violation of any applicable local, state, national, or international law, rule, or regulation (collectively, "Illegal Conduct"). This indemnification obligation includes, without limitation, any fines, penalties, or settlements imposed by governmental or regulatory authorities, as well as any third-party claims resulting from users Illegal Conduct. User shall promptly notify Sticker Mule of any such claim and cooperate fully in the defense of any matter covered by this provision. Sticker Mule reserves the right, at its own expense, to assume the exclusive defense and control of any matter subject to indemnification by user, and user shall not settle any such matter without the prior written consent of Sticker Mule.

    GENERAL CONDITIONS: The Released Parties are not responsible for lost, late, incomplete, inaccurate, stolen, misdirected, undelivered, delayed, garbled or damaged entries; or for lost, interrupted or unavailable network, server, Internet Service Provider (ISP), website, or other connections, availability or accessibility or miscommunications or failed computer, satellite, telephone or cable transmissions, lines, or technical failure or jumbled, scrambled, delayed, or misdirected transmissions or computer hardware or software malfunctions, failures or difficulties, lost or delayed mail, or other errors or difficulties of any kind whether human, mechanical, electronic, computer, network, typographical, printing or otherwise relating to or in connection with any Unique Sweepstakes, including, without limitation, errors or difficulties which may occur in connection with the administration of any Unique Sweepstakes, the processing of entries, the announcement of the Prizes or in any Sweepstakes-related materials. Released Parties are also not responsible for any incorrect or inaccurate information, whether caused by site users, tampering, hacking, or by any equipment or programming associated with or utilized in any Unique Sweepstakes. Released Parties are not responsible for injury or damage to any Entrant’s or to any other person’s computer related to or resulting from participating in any Unique Sweepstakes or downloading materials from or use of the website. Persons who tamper with or abuse any aspect of the Sweepstakes or website or who are in violation of these Official Rules, as solely determined by Sticker Mule, will be disqualified and all associated entries will be void. CAUTION: ANY ATTEMPT BY A PERSON TO DELIBERATELY DAMAGE ANY WEB SITE OR UNDERMINE THE LEGITIMATE OPERATION OF THIS SWEEPSTAKES IS A VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, STICKER MULE RESERVES THE RIGHT TO SEEK DAMAGES FROM ANY SUCH PERSON TO THE FULLEST EXTENT PERMITTED BY LAW. If for any reason a Unique Sweepstakes is not capable of running as planned due to infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures, or any other causes beyond the control of Sticker Mule, which corrupts or affects the administration or proper conduct of that Sweepstakes, Sticker Mule reserves the right, at its sole discretion, to disqualify any individual who tampers with the entry process, and/or to cancel, terminate, modify or suspend any Unique Sweepstakes or any element thereof. In the event of cancellation, Sticker Mule will award the Prizes from among all eligible, non-suspect entries received prior to cancellation by random drawing. The use of any automated launching or entry software or any other mechanical or electronic means that permits the Entrant to automatically enter repeatedly is prohibited. Any entries found or suspected to be submitted in this manner will be deemed ‘void’ by Sticker Mule. Entrants, by participating, agree that Sticker Mule and its respective affiliates, and advertising and any Unique Sweepstakes agencies, should they exist, and all of their respective officers, directors, employees, representatives and agents will have no liability whatsoever for, and shall be held harmless by Entrants against, any liability, for any injuries, losses or damages of any kind, including death, to persons, or property resulting in whole or in part, directly or indirectly, from acceptance, possession, misuse or use of any Prize or participation in any Unique Sweepstakes.

    DISPUTES: Except where prohibited, Entrant agrees that: (1) any and all disputes, claims and causes of action arising out of or connected with any Unique Sweepstakes or any Prize awarded shall be resolved individually, without resort to any form of class action, and exclusively by the State of New York or the appropriate Court located in the State of New York; (2) any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with entering any Unique Sweepstakes, but in no event attorneys’ fees; and (3) unless otherwise prohibited, under no circumstances will Entrant be permitted to obtain awards for, and Entrant hereby waives all rights to claim, indirect, punitive, incidental and consequential damages and any other damages, other than actual out-of-pocket expenses, and any and all rights to have damages multiplied or otherwise increased. All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of the Entrant and Sticker Mule in connection with any Unique Sweepstakes shall be governed by, and construed in accordance with, the laws of the State of New York, without giving effect to any choice of law or conflict of law rules (whether of the State of New York or any other jurisdiction) that would cause the application of the laws of any jurisdiction other than the State of New York.
