Stores Terms of Service

PLEASE READ THESE STORES PROGRAM TERMS OF SERVICE CAREFULLY BEFORE PARTICIPATING IN STICKER MULE’S STORES PROGRAM. PARTICIPATION IN THIS PROGRAM CONSTITUTES YOUR ACCEPTANCE OF ALL THESE STORES TERMS.
Overview
These Sticker Mule Stores Program Terms of Service (these “Stores Terms”) supplement and are incorporated into the Sticker Mule General Terms of Service (the “General Terms”). The General Terms apply to your use of the Services. Capitalized terms used but not defined in these Stores Terms have the meanings given to them in the General Terms.
In these Stores Terms, “Sticker Mule,” “we,” “us,” and “our” have the same meanings as in the General Terms. As used in these Stores Terms, “you,” “your,” and “Seller” refer to any User who participates in the Sticker Mule Stores Program (the “Stores Program”) by operating or offering products or services through a customizable online store on the Website (each, a “Store”). A Seller may earn profit payments for each product sold through their Store (“Profit Payments”) to a customer (a “Buyer”).
The Stores Program and all Stores are part of the Services as described in the General Terms.
Binding Agreement
By participating in the Stores Program, you are bound by these Stores Terms and indicate your agreement to them. The Stores Program is administered by Sticker Mule. All of Sticker Mule’s decisions with respect to the Stores Program are final and binding.
Our Stores Terms May Change
We may update these Stores Terms from time to time. If we make a material change, we will post a notice on the Website or otherwise notify you of the change. Please read any changes carefully. If you do not agree to the updated Stores Terms, you must stop participating in the Stores Program. If you continue to participate in the Stores Program after we notify you of changes, you will be deemed to have accepted the updated Stores Terms, except to the extent prohibited by applicable law. Some jurisdictions do not permit unilateral updates or changes to terms, so this paragraph may not apply to you.
Additional Terms
These Stores Terms are subject to additional terms and conditions, including, without limitation, Sticker Mule’s General Terms of Service, IP Rights Policy, Commissions Terms, and Privacy Policy (collectively, the “Additional Terms”). The applicable Additional Terms are incorporated into these Stores Terms by reference. If there is any conflict between these Stores Terms and the applicable Additional Terms, the Stores Terms will govern your participation and use of the Stores Program. The applicable Additional Terms will otherwise continue to apply to your use of the Services or that specific product, tool, service, program, or portion of the Services.
One set of Additional Terms is our Privacy Policy, which is incorporated into these Terms by reference. Please refer to our Privacy Policy for information about how we collect, use, and disclose information about you. By using the Services, you agree to the terms of our Privacy Policy.
Sticker Mule offers a separate Commissions Program, where you can earn commission payments for referring new customers to Sticker Mule (collectively “Commission Payments”). While you are not required to take advantage of both programs, we encourage you to do so, as you can make Commission Payments and Profits Payments on the same order (for example, when a Buyer is a new customer and buys a product with a Markup (defined below) from your Store).
Eligibility and Account Requirements
To be eligible to participate as a Seller in the Stores Program and earn Profit Payments, you must:
- Create a user account on our Website (a “User Account”).
- Be a legal resident of a participating country.
- Be 18 years of age or older (or the legal age of majority in your jurisdiction).
- Create a Stripe account at www.stripe.com, if you don’t have one already, and link your Stripe account to your User Account.
How the Stores Program Works
Setting Up Your Store
To participate in the Stores Program, visit the Website and follow the on-screen instructions to create and configure your Store.
Store Links and Product Links
Upon creating a Store, each Seller is provided with a link and code unique to their Store (“Store Link”). When you add a product to your Store, you are provided with a product link unique to that product (“Product Link”, and with Store Link, the “Links”). Seller is solely responsible for using the Links correctly. Sticker Mule is not responsible for any failure by Seller to receive any Profit Payments due to incorrect formatting, configuration, or use of the Links. Seller may use the Links in emails, messages, websites, social media, and other communications to direct Buyers to the Website, the Store, or specific products. Seller shall not create the impression that Seller’s communications, social media accounts, websites, or other platforms are owned, operated, or endorsed by Sticker Mule, including, without limitation, framing or mirroring the Website or Social Media in any manner.
Listing New Products
For each product you intend to sell through the Stores Program, you must:
- Have a valid design and/or template for that product in your User Account.
- Give each product a unique title (no two products in your Store may have the same title).
- Flag adult imagery including, without limitation, imagery featuring nudity, drugs, or violence.
- Designate a Markup above the Base Amount for that product. (Both terms defined below.)
- Save the listing and confirm it should be posted to your Store before it will be visible to the public.
Managing Existing Products
You may modify or remove products from your Store at any time. Modifying or removing a product doesn’t cancel or change past orders or the related payments — you still have all the rights and responsibilities connected to those earlier orders.
Give Program
Sticker Mule allows users the opportunity to organize one or more random draw giveaways (each, a “Promotion”) featuring prizes. As part of a Promotion, an organizer may request to use your designs if you consent to such use. As a condition of that consent, you agree to comply with the Give Program Terms of Service.
Earn Profit Payments
Profit Payments
Profit Payments for each product are determined primarily by: (i) the Markup selected for that product, (ii) the quantity of that product purchased in a given order, and (iii) the impact of any discounts and Sticker Mule’s shipping and handling costs. Higher-quantity orders generally result in higher Profit Payments. An estimate of the Profit Payments for each product will be displayed to the Seller before the Seller saves a product listing. There is no limit on the total amount of Profit Payments you may earn, subject to these Stores Terms.
For each order, the Profit Payment for a given product is generally calculated as:
Profit Payment = (Base Amount x Markup x Quantity) - Discounts - Shipping & Handling Costs
- Base Amount. For each product, the “Base Amount” is the per-unit amount of the Platform Costs for that product, inclusive of any Applicable Taxes on such platform costs, and before applying any Markup, Discounts, or shipping and handling costs.
- Markup. For each product you make available, you may choose any markup on that product that is: (i) greater than or equal to zero percent above the Base Amount, and (b) below the automated upper limit set by Sticker Mule from time to time (the “Markup”). You may set different Markups for different products and may change a product’s Markup at any time. For calculation purposes, a Markup of 20% will be treated as 0.20 in the formula above. The Markup in effect at the time a Buyer’s order is completed will be used to calculate any Profit Payments for that sale. Once a Buyer submits an order, the Profit Payment for that order will not change as a result of subsequent changes to the product’s Markup.
- Applicable Taxes. “Applicable Taxes” means any applicable sales, use, value-added, goods and services, or similar tax (e.g., sales tax, GST, VAT) that Sticker Mule and/or Seller, as applicable, are required to collect and remit to the relevant tax authorities. Applicable Taxes are collected and remitted as required by law and are not included in Profit Payments.
- Discounts. “Discounts” refer to all store-level or product-level discounts applied to an order. Sticker Mule may allocate such discounts across affected products and orders in its discretion.
- Shipping Costs. Sticker Mule offers free shipping on all orders. However, for purposes of calculating Profit Payments, Sticker Mule’s internal costs of shipping and handling are taken into account and deducted as described in the formula above. Profit Payments for products shipped to more distant or higher-cost destinations may be lower due to increased shipping and handling costs.
Payments, Collection & Distribution
Profit Payments
Unless otherwise stated, Profit Payments will be paid monthly into Seller’s linked Stripe account, subject to any minimum payout thresholds or other payment conditions established by Sticker Mule.
Timing of Profit Payments
Profit Payments will be awarded to Seller effective no later than sixty (60) days after the expiration of the returns period on the order(s) made by the Buyer.
Seller Authorizes Payment, Sale & Collection
Seller instructs Sticker Mule to facilitate the sale of the Seller’s products and/or services through the Website. This includes facilitating payment processing and arranging for the manufacturing of products listed in the Seller’s Store, and Sticker Mule will facilitate such payment processing and manufacturing in accordance with reasonable business practices. Seller authorizes Sticker Mule to collect, hold, and distribute the Profit Payments. Before distributing your Profit Payments, you authorize Sticker Mule to (i) add a Markup, and (ii) deduct platform costs, Applicable Taxes, shipping fees, or Discounts from the Base Amount.
Taxes
Seller is solely responsible for paying any Applicable Taxes owed to any taxing authority arising from or in connection with Seller’s receipt of Profit Payments and shall cooperate with Sticker Mule by providing all required tax information.
Stripe Account
Stripe, a third-party vendor, processes all payments made in connection with the Services. Sticker Mule is not affiliated with Stripe and is not responsible for any changes to, or unavailability of, any Stripe service that may affect the Stores Program, including any limitations, restrictions, or conditions on Seller’s ability to use Stripe to receive Profit Payments, or Seller’s ability to access Stripe, receive notices from, or communicate with Sticker Mule through Stripe.
It is Seller’s responsibility to:
- Configure your Stripe account as needed to comply with these Stores Terms and any Additional Terms.
- Accept transactions and communications from Sticker Mule.
- Maintain current and accurate Stripe account details.
- Check your Stripe account in a timely manner for direct messages from Sticker Mule regarding the Stores Program.
If Sticker Mule cannot pay you because your Stripe account is not properly configured, you have provided incorrect or outdated information, or payment is otherwise rejected, your Profit Payments may be delayed, withheld, or, where permitted by law, donated to a charity of Sticker Mule’s choice.
Restrictions on Stores Program Use
Without limiting other remedies, the following restrictions apply:
- No Profit Payments will be earned if your User Account is not in good standing, you are in breach of these Stores Terms or any Additional Terms, or there are complaints or findings of spam, fraud, or other inappropriate or suspicious activity.
- Purchases made by Buyers using any certain promotions may not qualify for Profit Payments, as determined by Sticker Mule.
- Orders returned, cancelled, or refunded will not qualify for Profit Payments. Associated Profit Payments may be reversed.
- Any Profit Payments are personal to Seller and may not be sold, transferred, assigned, or shared with third parties.
- All Profit Payments remain the property of Sticker Mule unless and until paid to Seller.
- Participating in the Stores Program does not authorize the Seller to act on behalf of Sticker Mule.
- Sticker Mule will not be liable for losses arising from incorrect or incomplete payment details provided by Seller.
- Sticker Mule may establish minimum payment thresholds, where the Profit Payments do not exceed any applicable threshold for the relevant period, payment may be postponed until the threshold is exceeded.
- Sticker Mule has sole authority and discretion in determining cases involving suspected abuse, fraud, or violation of these Stores Terms or any Additional Terms, and may cancel, change, or suspend the Stores Program or a Seller’s participation, including making Profit Payments unavailable.
Seller’s Responsibilities
By operating a Store on the Website, Seller shall not:
- Purchase products from their own Store.
- Manipulate traffic, orders, or any other Store activity for the purpose of inflating Profit Payments or any other Store-related payments.
- Impede or interfere with another Seller’s use or enjoyment of the Stores Program.
- Use bots, scripts, or other automated means to participate in, interact with, or obtain benefits from the Stores Program.
- Use any Sticker Mule trademarks, copyrighted material, names, logos, or other intellectual property.
- Engage in any activity that diminishes or tarnishes the reputation of Sticker Mule or its trademarks.
You understand and agree that these prohibitions are not exhaustive, and Sticker Mule may determine in its sole discretion whether particular conduct violates the spirit or intent of the Stores Program.
Legal and Regulatory Compliance
By selling advertising and selling products and services through your Store, Seller agrees to comply with all applicable laws, ordinances, rules, regulations, orders, and registration or licensing requirements, including, without limitation, those governing:
- Marketing and affiliate marketing emails and communications (including, without limitation, the Telephone Consumer Protection Act, the Telemarketing Sales Rules, and other federal and state laws governing contacting consumers by telephone or text message, and the CAN-SPAM Act of 2003, as well as other anti-spam laws;
- Data protection and privacy (such as the EU General Data Protection Regulation and other applicable data protection laws);
- Anti-bribery and anti-corruption laws (such as the U.S. Foreign Corrupt Practices Act, the U.K. Bribery Act, the Singapore Prevention of Corruption Act, the Mexico General Law on the National Anti-Corruption System, the Canadian Corruption of Foreign Officials Act, and other applicable laws); and
- Federal Trade Commission’s “Guides Concerning the Use of Endorsements and Testimonials in Advertising,” 16 C.F.R. § 255, including, without limitation, clearly disclosing any paid endorsements (e.g., “This is a paid endorsement” or “#paidad”) when promoting your Store on social media or elsewhere. You are responsible for ensuring that your posts comply with the terms of use of each platform and all applicable laws.
Intellectual Property
User Content
You can interact with us via our Website and Social Media by submitting or transmitting text, photos, images, graphics, videos, comments, and/or other content, which we refer to as “User Content.”
License to User Content
In connection with the Stores Program, you grant Sticker Mule a non-exclusive, perpetual, transferable, sub-licensable, royalty-free, worldwide license to use, reproduce, modify, create derivative works of, display, and otherwise use your User Content in connection with operating, marketing, and promoting the Website, the Services (including the Stores Program and your Store), and fulfilling orders.
Sticker Mule Rights
Seller acknowledges that all trademarks, copyrights, and other intellectual property of Sticker Mule or its licensors are owned exclusively by Sticker Mule or such third parties.
Confidential Information
While participating in the Stores Program, you may receive or become privy to confidential or proprietary information belonging to Sticker Mule or to Sticker Mule customers (including Buyers) (“Confidential Information”). You agree to keep all Confidential Information in strict confidence, to use it only as necessary to participate in the Stores Program, and not to disclose it to any third party except as expressly permitted by Sticker Mule in writing.
Notwithstanding anything to the contrary in these Stores Terms, you agree to keep confidential the names and contact information of any customers of Sticker Mule, including Buyers, and not to use such information for any purpose other than fulfilling orders or otherwise participating in the Stores Program.
Termination
Either party can terminate participation in the Stores Program at any time for any reason.
